2. Description of Services

AI Boutique provides Generative Engine Optimization (GEO) services to small businesses. GEO is the practice of structuring, distributing, and maintaining your business information so that AI-powered answer engines (such as OpenAI's ChatGPT, Google Gemini, Perplexity AI, Anthropic's Claude, and Microsoft Copilot) are more likely to surface your business accurately and favorably in their responses.

Our monthly GEO Optimization Plan includes, but is not limited to:

Initial GEO Audit of your current AI presence and data footprint
Business profile optimization across AI-indexed directories and data aggregators
Structured data implementation (Schema.org markup) recommendations
Monthly content and citation optimization
AI platform citation monitoring and reporting
Monthly performance report delivered via email
Dedicated customer support via email during normal business hours

We reserve the right to update, modify, or discontinue specific service features with 30 days' written notice to active clients.

3. Subscription, Fees, and Billing

3.1 Subscription Fee

The current price for the GEO Optimization Plan is $99.99 per month. This fee is subject to change with 30 days' prior written notice to active subscribers.

3.2 ACH Payment — Exclusive Payment Method

We accept payment exclusively by ACH (Automated Clearing House) electronic bank debit. Credit cards, debit cards, checks, wire transfers, and cash are not accepted. By enrolling in our services, you authorize CEH Business Services LLC, doing business as AI Boutique, to initiate recurring monthly ACH debit entries from the bank account you designate on your ACH Authorization Form.

3.3 ACH Authorization and NACHA Rules

All ACH transactions are governed by the rules and guidelines of the National Automated Clearinghouse Association (NACHA). Your ACH Authorization is a separate legally binding document. By signing it, you:

Certify that you are an authorized signer on the designated bank account
Authorize recurring monthly debits of $99.99 until your subscription is validly cancelled
Agree to maintain sufficient funds in your account on each billing date to cover the debit
Acknowledge that we will provide at least 10 calendar days' notice before the first debit and before any change to the debit amount

3.4 Billing Cycle and Timing

Your subscription is billed monthly, beginning on the date your ACH Authorization Form is accepted. Subsequent charges will recur on the same calendar day each month (e.g., if you enrolled on the 10th, you will be billed on the 10th of each subsequent month). If a billing date falls on a weekend or federal banking holiday, the debit will be initiated on the next business day.

3.5 Failed Payments and Returned ACH Items

If an ACH debit is returned or rejected for any reason (including, but not limited to, insufficient funds, account closed, or unauthorized return), your service may be suspended immediately until payment is collected. We reserve the right to:

Re-present the ACH debit up to two (2) additional times
Assess a returned item fee of up to $25.00 per returned transaction, as permitted by applicable law
Terminate your subscription for repeated returned items

4. Cancellation Policy

4.1 How to Cancel

You may cancel your subscription at any time by submitting a written cancellation request to info@aiboutiquellc.com with the subject line "Cancellation Request – [Your Business Name]." Cancellations requested by phone or verbal communication are not valid.

4.2 Notice Period

A minimum 30 calendar days' written notice is required for cancellation. Your cancellation becomes effective at the end of the current billing cycle following the required notice period. For example, if you submit a cancellation request on March 1st, your service and billing will continue through the end of your April billing cycle.

4.3 Effect of Cancellation

Upon effective cancellation, we will stop all recurring ACH debits from your account. Any ACH debits already initiated prior to the effective cancellation date will not be reversed. Access to reports and client communications will be discontinued at the end of the final billing period.

4.4 Revocation of ACH Authorization

To revoke your ACH authorization only (without cancelling the service), you must contact us in writing with at least 3 business days' notice before the scheduled debit date. Revoking your ACH authorization without cancelling your subscription does not terminate your payment obligations; you remain responsible for all accrued fees.

5. Refund Policy

All fees are earned upon the start of each billing cycle. CEH Business Services LLC (AI Boutique) does not issue refunds for any subscription fees paid, including fees for partial months of service, months in which services were not actively used, or fees charged during a cancellation notice period. If you believe a billing error has occurred, you must notify us in writing within 60 days of the disputed charge. We will investigate all good-faith billing disputes and respond within 10 business days.

6. Dispute Resolution for ACH Transactions

If you believe an ACH debit was processed in error or without proper authorization, you have rights under NACHA rules and the Electronic Fund Transfer Act (EFTA). You should:

Contact your bank: You may also contact your financial institution to dispute an unauthorized ACH transaction. Under NACHA rules, you have the right to request a refund from your bank for unauthorized transactions.

Initiating a bank-level dispute (chargeback) before contacting us may result in immediate suspension of services.

7. No Guarantee of Results

AI Boutique operates in the field of Generative Engine Optimization, an evolving discipline subject to the constantly changing proprietary algorithms of third-party AI providers. We make absolutely no guarantee, warranty, or representation regarding specific AI citations, rankings, placements, traffic increases, lead generation outcomes, revenue results, or any other measurable business outcome.

Our services implement current industry best practices to improve the probability that your business is accurately and favorably cited by AI systems. The ultimate output of any AI model is entirely outside our control and may change without notice.

Any results discussed in sales conversations, case studies, or marketing materials represent potential outcomes and are not guarantees of your individual results.

8. Client Responsibilities

You agree to:

Provide accurate, complete, and up-to-date business information required for GEO services
Maintain sufficient funds in your designated bank account on each billing date
Notify us promptly of any changes to your bank account, business information, or contact details
Use our services only for lawful purposes in compliance with all applicable federal, state, and local laws
Retain ownership of all your business data and grant us a limited license to distribute public business data to third-party directories, data aggregators, and AI platforms on your behalf

9. Intellectual Property

All content on our Site — including text, graphics, logos, images, reports, and software — is the property of CEH Business Services LLC (AI Boutique) or its licensors and is protected by applicable copyright, trademark, and intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

10. Confidentiality

We will maintain the confidentiality of your non-public business information and financial data. We will not sell, rent, or share your confidential information with third parties except as necessary to provide our services (e.g., to our payment processor) or as required by law. Public business data (name, address, phone, website, hours) may be distributed to third-party platforms as part of our GEO services.

11. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AI BOUTIQUE LLC AND CEH BUSINESS SERVICES LLC, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND CONTRACTORS, SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

13. Indemnification

You agree to defend, indemnify, and hold harmless AI Boutique LLC, CEH Business Services LLC, and their respective officers, directors, employees, agents, and contractors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of our services.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in Palm Beach County, Florida, and you hereby consent to the personal jurisdiction of such courts.

15. Dispute Resolution and Arbitration

Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or validity thereof, shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with arbitration to take place in Palm Beach County, Florida. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between you and us individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

16. Modifications to These Terms

We reserve the right to modify these Terms at any time at our sole discretion. We will provide at least 30 days' prior notice of material changes via email to your address on file and by posting the updated Terms on our Site with a new "Last Updated" date. Your continued use of our services after the effective date of any modification constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must cancel your subscription in accordance with Section 4.

17. Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

18. Entire Agreement

These Terms of Service, together with our Privacy Policy and any ACH Authorization Form you have executed, constitute the entire agreement between you and AI Boutique LLC with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, warranties, and agreements, whether written or oral.
